BRPA Stockholder Settlement

The purpose of this website is to inform you of the pendency of a proposed settlement of the class action (the “Action”) between plaintiff Jacob Fulcher (“Plaintiff”), on behalf of himself and the Class, and defendants Richard Ackerman, Richard Birdoff, Michael Fong, Stuart Koenig, Albert G. Rex, Troy T. Taylor, and Big Rock Partners Sponsor, LLC (the “Big Rock Defendants”); Alessandra Daigneault; and former defendants Steven Levine, David Nussbaum, BRAC Lending Group LLC, and EarlyBirdCapital, Inc. (the “EBC Defendants,” and together with the Big Rock Defendants and Daigneault, the “Settling Defendants”).

If you were a public stockholder of Big Rock Partners Acquisition Corporation (“BRPA” or the “Company”) on June 8, 2021 who was entitled to, but did not, redeem your BRPA shares before the end of the Redemption Date in connection with the business combination between BRPA and NeuroRx, Inc. (the “Merger”), you may be a Class Member and may be entitled to share in the proceeds of the Settlement set forth in the Notice. Pursuant to the Settlement, a $2,675,000 Settlement Fund has been established for the benefit of the Class.
